Terms of Use

These Terms of Use (the "Terms") are a binding agreement between you and Presentya, operator of https://presentya.shop (the "Service"). If you do not agree, do not use the Service.

If you use the Service on behalf of a business, you represent that you have authority to bind that business, and "you" includes that business.

Presentya provides software that lets participating merchants enable product sharing and optional AI presenter features, and lets creators share content and view attributed visits, orders, and tracked earnings. The Service is offered as a pilot and may change, pause, or end at any time.

Presentya is a technology platform only. We do not sell the merchant's products, we do not take title to those products, and we are not a party to any contract between a shopper and a merchant. Checkout, fulfillment, refunds, taxes on product sales, and customer service for those sales are the merchant's responsibility.

You must be at least 18 years old. Creator accounts are created with Google sign-in. You must keep your account secure and provide accurate information. You are responsible for activity under your account.

We may refuse, suspend, or close an account if we reasonably believe these Terms were breached, if required by law, or if needed to protect the Service or other users.

Creator commissions, attribution windows, holds, refund reversals, and similar rules are set by the relevant merchant program, not as a guaranteed payment from Presentya. Merchants may change, pause, or end a program. Presentya does not promise that any merchant will join, remain, or pay.

In the current version, earnings may be tracked in the Service without Presentya processing payouts. Displayed balances are not a bank deposit, stored-value account, or a promise that funds have been received from a merchant.

Presentya does not guarantee traffic, engagement, sales, commissions, approval into the merchant pilot, uptime, or any particular income. "Share it. Earn from the traffic you create." and similar statements describe how the product can work when attribution and merchant terms allow it. They are not a warranty, forecast, or investment advice.

You retain rights in content you upload, subject to the license below. You grant Presentya a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt (including to generate presenter images you request), display, and distribute that content as needed to operate the Service, including on public share pages you publish.

You represent and warrant that: (a) you own the content or have all rights and consents needed to use it as contemplated by the Service; (b) photos uploaded for Be the Presenter are of you, or of a person who has given you all required consents; (c) your content does not infringe others' rights or violate law; and (d) you will not upload unlawful, deceptive, or harmful material.

You are solely responsible for the content you publish and for how you promote merchant products. Presentya does not pre-clear every share.

Be the Presenter uses automated generation. Output may be wrong, distorted, or different from your appearance. The feature is provided as-is. You should review a result before sharing it. We are not liable for reputational or other harm arising from a generated image you chose to create or publish.

You may not:

• misuse attribution, create fake traffic, or manipulate earnings;
• attempt to access another user's account or our systems without authorization;
• reverse engineer the Service except where the law allows it;
• use the Service to send spam, malware, or unlawful content;
• impersonate another person or misrepresent an affiliation;
• interfere with other users or with merchants' stores.

The Service, including the Presentya name, marks, software, and design, is owned by Presentya or its licensors. These Terms do not transfer ownership to you. Product images and merchant branding remain the merchant's or their licensors' property and are used only as the merchant enables through the Service.

Google sign-in, Shopify, merchant checkout, hosting, and social platforms are third-party services. Your use of them is subject to their terms. Presentya is not responsible for third-party acts, omissions, or unavailability.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRESENTEYA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT OR ANALYTICS WILL BE ACCURATE OR COMPLETE.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud or for death or personal injury caused by negligence where such exclusion is prohibited.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRESENTEYA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRESENTEYA'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS, IF ANY, YOU PAID TO PRESENTEYA FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM, AND (B) ONE HUNDRED U.S. DOLLARS (US $100).

These limits allocate risk between you and Presentya and are a fundamental basis of the bargain. The Service would not be offered on the same terms without them.

You will defend, indemnify, and hold harmless Presentya and its officers, directors, employees, and agents from claims, damages, losses, and reasonable legal fees arising out of your content, your use of the Service, your promotion of products, or your breach of these Terms or of law, except to the extent caused by Presentya's willful misconduct.

You may stop using the Service at any time. We may suspend or end access immediately if we reasonably believe you breached these Terms, if the pilot ends, or if we discontinue the Service. Sections that by their nature should survive (including intellectual property, disclaimers, liability limits, indemnity, and governing law) will survive.

We may update these Terms by posting a revised version on this page. The effective date will change. If you continue to use the Service after the update, you accept the revised Terms. If you do not agree, stop using the Service.

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. Exclusive jurisdiction and venue lie with the competent courts in Tel Aviv-Jaffa, Israel, except where applicable consumer law gives you a mandatory right to sue in another forum.

If a provision is held unenforceable, the rest remains in effect. You may not assign these Terms without our consent. We may assign them in connection with a reorganization or sale of assets. These Terms, the Privacy Policy, and any merchant program terms you accept are the entire agreement between you and Presentya for the Service. Our failure to enforce a provision is not a waiver.
